| ENTIRE CONTRACT: |
By signing this quotation or issuing its purchase order, Buyer accepts this offer and agrees to purchase the equipment described on the face of the quotation for the price shown. This sales contract shall be governed by the Uniform Commercial Code as in effect in Pennsylvania. |
| CONTROLLING TERMS: |
Seller objects to the inclusion of any different or additional terms by Buyer in its acceptance of this quotation. Buyer may propose subsequent changes to the contract only by written change order, subject to acceptance by Seller. |
| PRICING AND TAXES: |
All prices quoted are based on United States currency. Unless otherwise stated, prices are F.O.B. shipping point. The base price is subject to all taxes and duties properly imposed on this sale. Price is firm for sixty days from date of this quotation. |
| PAYMENT: |
All prices quoted are based on United States currency. Unless otherwise stated, prices are F.O.B. shipping point. The base price is subject to all taxes and duties properly imposed on this sale. Price is firm for sixty days from date of this quotation.
Domestic: All orders under $25,000 are Net 30 Days from date of shipment and are not subject to retainage. For orders over $25,000 payment terms will be determined at order placement. If Buyer requests delay in shipment, payment shall become due when Buyer is notified that equipment is ready for shipment.
International: International orders will be decided at time of order and are either
a. 50% on receipt of order and 50% on readiness to ship before shipment in US dollars via wire transfer.
b. Full payment on readiness to ship before shipment in US dollars via wire transfer.
In the event that Buyer defaults in payment of invoices when due, Seller shall be paid by Buyer a carrying charge of one percent per month on the unpaid balance, without prejudice to its right to institute legal action for collection. If suit is filed, Seller shall be entitled to the balance due plus costs of suit and attorney's fee.

| LIMITATION OF LIABILITY: |
IN NO EVENT, WHETHER AS A RESULT OF BREACH OF CONTRACT OR WARRANTY OR NEGLIGENCE, SHALL HEYLPAT TECHNOLOGIES BE LIABLE FOR SPECIAL OR CONSEQUENTIAL DAMAGES including, but not limited to, loss of profits or revenue, loss of use of the equipment or any associated equipment, cost of capital, cost of substitute equipment, facilities or services, downtime costs, or claims of customers of the Buyer for such damages. |
| WARRANTY: |
Workmanship and materials are warranted for a period of 18 months from date of shipment or one (1) year after installation, whichever comes first. In the event of defects developing within that period, under normal and proper use, the Seller will, at its option, repair or furnish replacement parts F.O.B. the point of manufacture. |
| DRAWINGS: |
For standard equipment, a certified General Arrangement Drawing and Parts Identification will be supplied. No detail drawings will be furnished. |
| DELIVERY: |
Based on receipt of formal order, or approval to proceed, whichever is later, and subject to delays beyond our control. |
| DAMAGE AND LOSS: |
Buyer shall inspect shipments upon delivery. Seller is not responsible for carrier transit damage or loss. Claims for shortages or non-complying equipment must be submitted to Seller in writing within thirty days of receipt of shipment. |
| CANCELLATION: |
Special orders are not subject to cancellation. Standard equipment in stock is subject to cancellation upon payment of 15% restocking charge. Standard equipment being manufactured is subject to cancellation upon payment of all direct costs, overhead and profit allocable to the work in progress to the time of cancellation. |
